RipVault Seller Agreement

1. Eligibility & Account

You must be 18+, legally able to enter into contracts, and complete identity verification (Stripe Identity) before reaching the GMV thresholds defined in the platform. You are responsible for all activity under your account and for keeping your contact and payout information current.

2. Commissions & Fees

• Platform fee: 5% of item subtotal only.
• Shipping and tax are excluded from the platform fee calculation.
• Super Chats & stickers: platform cut as published in Pricing.
• Buyer-paid shipping is retained by RipVault to cover shipping labels.

3. Payouts & Escrow

Funds settle through Stripe Connect. Order proceeds are held in escrow until the buyer-protection window passes or delivery is confirmed, then released to your available balance. KYC is required for payouts ≥ $500 and for live streaming above monthly GMV thresholds.

4. Listing & Shipping Standards

• Accurate titles, conditions, photos, and quantities.
• Ship within 3 business days of payment unless combined-shipping is open.
• Provide tracking for all orders ≥ $20.
• Honor breaks and giveaways exactly as advertised.

5. Prohibited Conduct

• Counterfeit, altered, or misrepresented cards/products.
• Off-platform payments to circumvent fees or buyer protection.
• Shill bidding, fake giveaways, or harassment of viewers.
• Sharing or selling restricted, illegal, or age-restricted goods.

6. Taxes & 1099-K

You are solely responsible for taxes on your sales. RipVault will issue an IRS Form 1099-K when required by law. You can export your annual gross-sales report from Seller → Taxes & 1099 at any time.

7. Buyer Protection & Disputes

Buyers may file claims for non-delivery, not-as-described, or damage. RipVault's arbitration decision is final and may issue refunds, partial refunds, or holds against your balance. Repeated violations may result in suspension, shadow-ban, or termination of seller privileges.

8. Intellectual Property

You grant RipVault a non-exclusive, royalty-free, worldwide license to display, transcode, and distribute your listings, streams, and replays for the operation and promotion of the platform.

9. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your seller privileges immediately for breach, fraud, or safety risk. Outstanding orders must still be fulfilled and outstanding refunds owed remain due.

10. Disclaimers & Liability

The platform is provided "as is". To the maximum extent allowed by law, RipVault is not liable for indirect or consequential damages, and aggregate liability is capped at the fees you paid us in the 12 months preceding the claim.
